These detailed Terms and Conditions govern your access to and use of our video/film production services. Please read these terms carefully before proceeding, as your use of our services signifies your acceptance of these conditions.
1. Services Overview
UMBR Media offers a broad range of video and film production services, encompassing pre-production, production, and post-production phases. The client agrees to collaborate with UMBR Media in the creation of audiovisual content, subject to the terms outlined herein.
2. Liability Disclaimer
2.1. Set Up/Tear Down: UMBR Media is not liable for any injury, damage, or loss resulting from the setup or tear down of equipment, props, or any other materials associated with the production. The client assumes responsibility for providing a safe working environment.
2.2. Misrepresentation: UMBR Media disclaims any liability for misrepresentation of content, individuals, or entities within the produced videos/films. The client is responsible for ensuring the accuracy and legality of all information provided for inclusion in the content.
2.3. Legal Issues: UMBR Media is not responsible for any legal issues that may arise post-production, including but not limited to copyright infringement, defamation, or any claims brought against the client or UMBR Media. The client is advised to seek legal counsel for content clearance and compliance.
2.4. Equipment Failure: UMBR Media is not responsible for any delays, disruptions, or losses caused by equipment failure or unforeseen technical issues during the production process.
3. Refunds and Cancellations
3.1. Refunds: UMBR Media does not provide refunds for any services rendered, regardless of the circumstances. Any request for cancellation must be made in writing, and all payments made are non-refundable.
3.2. Cancellations: In the event of a cancellation by the client, any payments made to UMBR Media are non-refundable. Cancellations should be communicated in writing prior to the beginning of work.
4. Data Handling
4.1. Data Storage and Privacy: UMBR Media may store client data, including but not limited to project files, contact information, and project-related documents, for marketing, analytics, and other legitimate business purposes. UMBR Media will take reasonable measures to protect client data and adhere to applicable data protection laws.
4.2. Data Retention: UMBR Media retains the right to store client data for a reasonable period, even after project completion, for archival, marketing, and analytical purposes and potential future collaborations.
5. Intellectual Property
5.1. Ownership: UMBR Media retains ownership of all intellectual property rights associated with the produced content, including but not limited to video footage, audio recordings, and any creative elements.
5.2. License and Usage: Upon completion of the project and full payment, UMBR Media grants the client a non-exclusive license to use the final content for the agreed-upon purposes outlined in the project scope. Any usage beyond the agreed-upon scope requires written permission from UMBR Media.
6. Indemnification
The client agrees to indemnify and hold UMBR Media, its employees, agents, and contractors harmless from any claims, losses, damages, liabilities, or expenses arising out of the client's use of the produced content, breach of these terms, or violation of any laws or third-party rights.
7. Amendments and Termination
UMBR Media reserves the right to amend these terms at any time without notice. The client's continued use of our services constitutes acceptance of the modified terms. UMBR Media may terminate its services at any time if the client violates these terms or engages in any behavior deemed detrimental to UMBR Media.
8. Governing Law and Dispute Resolution
These terms and conditions shall be governed by and construed in accordance with the laws of Seminole County, Florida. Any disputes arising out of or in connection with these terms shall be resolved through arbitration.
By using UMBR Media's services, you acknowledge that you have read, understood, and agreed to these terms and conditions.
